Subscription Agreement

1. Agreement Overview

This Subscription Agreement ("Agreement") is entered into between Nirmanix Technologies Private Limited ("Nirmanix", "we", "us", or "our") and the entity or individual ("Customer", "you", or "your") subscribing to Nirmanix services.

By subscribing to any Nirmanix plan, you agree to be bound by the terms and conditions of this Agreement.

2.1 Plan Types

Nirmanix offers the following subscription plans:

  • Starter Plan: ₹2,499 per user per month (₹1,999/user/month when billed annually), minimum 3 users required.
  • Growth Plan: ₹5,499 per user per month (₹4,399/user/month when billed annually), minimum 3 users required.
  • Enterprise Plan: Custom pricing with volume discounts, minimum 10 users.

2.2 Free Trial

All plans include a 14-day free trial. No credit card is required to start your trial. You will have full access to all features of your chosen plan during the trial period.

2.3 Billing Cycles

  • Monthly Billing: Charged monthly at the full per-user rate.
  • Annual Billing: Charged annually with a 20% discount on the monthly rate.

3. User Seats

3.1 Seat Requirements

  • Paid plans (Starter and Growth) require a minimum of 3 user seats.
  • Enterprise plans require a minimum of 10 user seats.

3.2 Adding Seats

You may add additional user seats at any time. When seats are added mid-billing cycle:

  • A prorated invoice will be generated for the remaining days in the current billing period.
  • The new seats become available immediately upon payment.
  • Future billing will include the new total seat count.

3.3 Removing Seats

Seat reductions are processed at the end of the current billing period:

  • You cannot reduce below the minimum seat requirement for your plan.
  • You cannot reduce below the current number of active users.
  • No prorated refunds are issued for seat reductions.
  • The reduction takes effect at the start of the next billing cycle.

4. Payment Terms

4.1 Trial Period

After your 14-day free trial ends, you must provide a valid payment method to continue using the service. If no payment method is provided, your account will be suspended and your data will be retained for 30 days.

4.2 Payment Methods

We accept payment via credit cards, debit cards, UPI, net banking, and other payment methods supported by our payment processor (Razorpay).

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current rate for your plan and seat count.

4.4 Taxes

All prices are exclusive of applicable taxes. GST (18%) or other applicable taxes will be added to your invoice as required by law.

4.5 Failed Payments

If a payment fails, we will attempt to charge your payment method again. After multiple failed attempts, your subscription may be suspended and your data will be retained for 30 days before deletion.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your paid subscription at any time from your account settings. Upon cancellation:

  • Your subscription remains active until the end of the current billing period.
  • After the billing period ends, your account will be suspended.
  • You can export your data before the account suspension takes effect.
  • Your data will be retained for 30 days after suspension, then permanently deleted.

5.2 Money-Back Guarantee

We offer a 14-day money-back guarantee for new paid subscriptions. If you are not satisfied, contact support within 14 days of your first payment (after trial ends) for a full refund.

5.3 No Refunds After 14 Days

After the 14-day period from your first payment, subscription fees are non-refundable. No refunds or credits will be provided for:

  • Partial months or years of service
  • Unused features or services
  • Downgrade to a lower plan
  • Account suspension due to policy violations
  • Cancellation during the trial period (no charges apply)

6. Service Level Agreement

6.1 Uptime Commitment

We commit to 99.9% uptime for all paid plans, excluding scheduled maintenance windows and circumstances beyond our control.

6.2 Support

  • Starter Plan: Email support with 24-hour response time.
  • Growth Plan: Priority email and chat support with 4-hour response time.
  • Enterprise Plan: Dedicated support with custom SLA.

7. Data and Privacy

Your use of Nirmanix services is also governed by our Privacy Policy. Key points include:

  • You retain ownership of all data you upload to Nirmanix.
  • We process your data only to provide and improve our services.
  • We implement industry-standard security measures to protect your data.
  • You can export your data at any time.

8. Acceptable Use

You agree not to use Nirmanix services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware or harmful code
  • Send spam or unsolicited communications
  • Attempt to gain unauthorized access to our systems
  • Interfere with other users' use of the service

9. Intellectual Property

Nirmanix and its licensors retain all rights, title, and interest in and to the Nirmanix services, including all intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the services during your subscription term.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Nirmanix shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.
  • We are not liable for data loss resulting from your failure to maintain backups.

11. Changes to Terms

We may update this Agreement from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the services after changes constitutes acceptance of the new terms.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
